Direct Counsel is seeking a Mid-Level Corporate Associate to join a prestigious law firm’s Financial Restructuring and Distressed M&A practice in New York.

This position offers the opportunity to work on a dynamic mix of M&A, private equity, and financial restructuring matters. The ideal candidate will have 4–5 years of experience in corporate transactions, including M&A and general corporate matters , with additional exposure to restructuring, bankruptcy, or finance work.

This is an excellent role for an associate looking to develop deep experience in high-stakes, distressed transactions and complex deal structures.

Key Responsibilities:

• Lead or support M&A transactions, including distressed and special situations deals

• Advise clients on corporate governance, transaction structuring, and risk mitigation

• Coordinate cross-functional deal teams and manage deal timelines

• Support matters involving financial restructuring and bankruptcy

Qualifications:

• J.D. from an accredited law school

• 4–5 years of relevant experience in M&A and corporate law, ideally with some restructuring or finance exposure

• Strong academic credentials and law firm training required

• Effective deal management and communication skills

• Must be admitted and in good standing in the state of New York

Compensation:
The anticipated salary range for this position is $310,000 to $365,000 annually , depending on experience and qualifications.
